Terms of Service

These Terms of Service ("Terms") govern access to and use of the CommonSignal platform and thecommonsignal.com (together, the "Service"), operated by CommonSignal ("we," "us," "our"). By requesting a demo, creating an account, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
The Service
CommonSignal provides software that unifies physical access control, bookings, billing, and community features for operators of coworking spaces, smart buildings, and similar properties. Specific features available to an operator depend on the subscription tier and configuration purchased.
Accounts and Eligibility
You must provide accurate information when creating an account and are responsible for activity that occurs under your credentials. You must be authorized to bind your organization to these Terms.
Subscriptions, Fees, and Billing
Subscription tiers, features, and starting prices are described on our pricing page and may be updated from time to time; a specific deployment's actual price and scope are set out in an order form or services agreement between you and CommonSignal. Fees are billed in advance on a recurring basis unless otherwise agreed in writing, and are non-refundable except as required by law or expressly stated in your order form.
Physical Access Control — Important Limitations
CommonSignal's access-control features are designed to fail secure, meaning doors remain locked rather than unlocking automatically during a loss of power, connectivity, or other system fault. You are responsible for maintaining reasonable physical security practices, staffing, and emergency procedures independent of the Service, and for compliance with building and life-safety codes applicable to your property. CommonSignal is a software and configuration layer; it does not replace applicable legal, insurance, or life-safety requirements for your property.
Acceptable Use
You will not use the Service to violate applicable law, to compromise the security of the Service or any connected hardware, or to access data you are not authorized to access.
Your Data
As between you and CommonSignal, you own the operational data you input into the Service (members, bookings, invoices, and access history) and may export it. We use your data only to provide and improve the Service, as described in our Privacy Policy.
Third-Party Integrations
The Service integrates with third-party providers such as Stripe, UniFi, Google Calendar, LiquidSpace, and others. Your use of those integrations is also subject to that provider's own terms, and CommonSignal is not responsible for the acts or omissions of third-party providers.
Intellectual Property
CommonSignal and its licensors retain all rights, title, and interest in the Service, including its software, design, and trademarks. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted here.
Disclaimer of Warranties
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, CommonSignal will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amounts you paid us in the twelve months before the claim arose.
Termination
Either party may terminate an active subscription as described in your order form or services agreement. We may suspend or terminate access for material breach of these Terms.
Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
Changes to These Terms
We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.
